
Verisk Scraps $2.35 Billion AccuLynx Acquisition After FTC Review Delay

NEW YORK | Dec 29 (GeokHub) Data analytics company Verisk Analytics said on Monday it has terminated its planned $2.35 billion acquisition of roofing software firm AccuLynx, citing delays in regulatory approval by U.S. antitrust authorities.
Verisk said the decision followed a notice from the U.S. Federal Trade Commission (FTC) indicating that the agency had not completed its review of the deal by the agreed termination deadline of December 26.
DISPUTE OVER TERMINATION
AccuLynx has challenged the move, notifying Verisk that it considers the termination to be invalid. Verisk said it strongly disagrees and intends to “vigorously defend” its position.
Neither AccuLynx nor the FTC immediately responded to requests for comment.
REGULATORY SCRUTINY DERAILS DEAL
Verisk first announced the acquisition in July, with expectations that the transaction would close by the third quarter of 2025. However, the FTC requested additional information in October, signaling an extended antitrust review and pushing the deal past its original timeline.
Verisk later extended the termination deadline to December 26, but ultimately walked away after the review remained incomplete.
Market observers note that prolonged regulatory uncertainty often forces companies to choose between years-long legal battles or abandoning transactions altogether.
MARKET REACTION AND NEXT STEPS
Shares of New Jersey-based Verisk rose 1.7% in afternoon trading following the announcement.
Analysts at Raymond James said the deal’s collapse could lead Verisk to pursue incrementally higher share buybacks in 2026, instead of deploying capital toward acquisitions.
With the transaction off the table, Verisk said it plans to redeem $1.5 billion in debt that was raised in anticipation of completing the acquisition.
